STANDARD TERMS AND CONDITIONS FOR SUPPLIERS
GOOD BUSINESS PAYS CIC LTD

  1. DEFINITIONS
    1.1 “Company” refers to Good Business Pays CIC Ltd, company number 14190891, with the registered office at Westcotts (Sw) Llp Plym House, 3 Longbridge Road, Marsh Mills, Plymouth, Devon, United Kingdom, PL6 8LT
    1.2 “Supplier” refers to the entity providing goods and/or services to the Company.
    1.3 “Agreement” refers to these Standard Terms and Conditions, along with any purchase order or contract issued by the Company.
    1.4 “Goods” and/or “Services” refer to the products and/or services provided by the Supplier to the Company.
    1.5 “Invoice” refers to a valid request for payment submitted by the Supplier to the Company.
  2. CONTRACT FORMATION
    2.1 These Terms and Conditions apply to all purchase orders or contracts issued by the Company to the Supplier, unless otherwise agreed in writing.
    2.2 The Supplier shall provide the Goods and/or Services in accordance with the Agreement, including any specifications or requirements stated in the purchase order.
    2.3 Any conflicting or additional terms provided by the Supplier shall not be binding unless expressly agreed in writing by the Company.
  3. DELIVERY AND PERFORMANCE
    3.1 The Supplier shall deliver the Goods and/or perform the Services on or before the agreed date, in the agreed quantity, and to the agreed specifications.
    3.2 All deliveries must include appropriate documentation, including delivery notes and packing lists where applicable.
    3.3 The Company reserves the right to reject any Goods or Services that do not meet the agreed specifications or quality standards.
  4. PAYMENT TERMS
    4.1 The Company shall pay the Supplier within 30 daysfrom the date of receipt of a valid Invoice, subject to satisfactory delivery of Goods and/or performance of Services.
    4.2 The Supplier shall submit Invoices in a timely manner and ensure they contain the required details, including purchase order number, itemized description, quantity, unit price, and total amount due.
    4.3 The Company reserves the right to withhold payment if the Invoice is incorrect, incomplete, or disputed.
    4.4 The Company shall not be liable for any interest, penalties, or charges unless expressly agreed in writing.
  5. WARRANTIES AND LIABILITY
    5.1 The Supplier warrants that all Goods and/or Services shall:
    a) Conform to the agreed specifications and be of satisfactory quality and workmanship.
    b) Be free from defects in materials and workmanship.
    c) Comply with all applicable laws and regulations.
    5.2 If any Goods or Services fail to meet the required standards, the Company may require the Supplier to remedy, replace, or re-perform at no additional cost.
    5.3 The Supplier shall indemnify the Company against all losses, damages, and claims arising from defective Goods or Services, breach of contract, or negligence.
  6. CONFIDENTIALITY
    6.1 The Supplier shall keep confidential all information received from the Company and shall not disclose it to any third party without prior written consent.
    6.2 This obligation shall survive the termination of the Agreement.
  7. TERMINATION
    7.1 The Company may terminate the Agreement with immediate effect if:
    a) The Supplier fails to perform its obligations.
    b) The Supplier becomes insolvent or enters administration.
    c) The Supplier breaches any material term of the Agreement.
    7.2 Upon termination, the Supplier shall cease all work and return any property or confidential information belonging to the Company.
  8. FORCE MAJEURE
    8.1 Neither party shall be liable for delays or failure to perform due to events beyond their reasonable control, including natural disasters, strikes, or government actions.
    8.2 The affected party must notify the other as soon as possible and take reasonable steps to mitigate the impact.
  9. GOVERNING LAW AND JURISDICTION
    9.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.
    9.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
  10. GENERAL PROVISIONS
    10.1 Any amendments to these Terms and Conditions must be agreed in writing.
    10.2 If any provision is found to be invalid, the remaining provisions shall remain in force.
    10.3 The Supplier shall not assign or subcontract any obligations without prior written consent from the Company.

By supplying Goods and/or Services to Good Business Pays CIC Ltd, the Supplier agrees to these Terms and Conditions.
